Our products are intended for use by qualified laboratories, researchers, institutions, distributors, and trained personnel in appropriate laboratory environments.

2. Research and Laboratory Use

Unless expressly stated in writing by 4Q Life Sciences, our products are supplied for research use, laboratory investigation, quality control, education, or industrial laboratory applications only.

Our products are not intended for direct administration to humans or animals, therapeutic use, diagnostic use, food or beverage use, cosmetic use, household use, or any other use outside the purpose stated in the applicable product documentation.

You are responsible for ensuring that each product is suitable for your intended application, protocol, equipment, sample type, facility, and regulatory environment.

3. Eligibility and Account Responsibility

You may use our website and purchase our products only if you are authorized to do so on behalf of yourself, your laboratory, institution, company, or organization.

If you submit an inquiry, create an account, place an order, or communicate with us on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Product Information and Availability

We aim to provide accurate descriptions, specifications, catalog information, safety information, certificates, pricing, and availability details. However, product information may be updated from time to time and may vary by batch, region, storage condition, regulatory requirement, or supply status.

We may modify, discontinue, substitute, or restrict products at any time. Product images, labels, pack sizes, and descriptions shown on our website or marketing materials are for reference and may differ from delivered items where the core specification remains materially equivalent.

5. Quotations, Orders, and Acceptance

All quotations are valid only for the period stated in the quotation. If no period is stated, the quotation is valid for 30 days from the quotation date.

An order is not accepted until confirmed by 4Q Life Sciences in writing or fulfilled by shipment. We may reject or cancel any order where required information is incomplete, payment is not received, products are unavailable, compliance concerns exist, or applicable law restricts fulfillment.

Purchase orders, customer terms, or procurement documents will not override these Terms unless expressly agreed in writing by an authorized representative of 4Q Life Sciences.

6. Pricing, Taxes, and Payment

Prices are stated in the currency shown in the applicable quotation, invoice, or ordering platform. Unless expressly stated otherwise, prices exclude taxes, duties, import fees, shipping, insurance, customs charges, bank fees, and handling charges.

You are responsible for all taxes, duties, levies, permit costs, and regulatory fees associated with your order, except taxes based solely on our income.

Payment terms are as stated in the applicable invoice or quotation. We may suspend fulfillment, withhold documentation, or delay further supply if payment is late or if credit approval is withdrawn.

7. Shipping, Delivery, and Risk of Loss

Delivery dates are estimates unless expressly confirmed in writing as binding. We are not liable for delays caused by carriers, customs, regulatory inspections, import permits, weather, supply disruptions, force majeure events, or other circumstances outside our reasonable control.

Risk of loss or damage passes according to the shipping terms stated in the applicable quotation, invoice, or shipment documentation. If no shipping term is stated, risk passes to you when the products are handed to the carrier.

You are responsible for inspecting shipments promptly upon receipt and for following any cold-chain, temperature-controlled, hazardous material, or storage instructions immediately.

8. Inspection, Returns, and Claims

You must notify 4Q Life Sciences in writing of missing, damaged, incorrect, or nonconforming products within seven days after delivery. Notices should include the order number, product name, catalog number, lot number, photographs where relevant, and a description of the issue.

Returns are accepted only with prior written authorization from 4Q Life Sciences. Products that are temperature-sensitive, opened, used, expired, customized, made-to-order, hazardous, contaminated, or improperly stored may not be eligible for return.

Our sole obligation for a verified nonconforming product may be, at our option, replacement, credit, refund, or other corrective action we consider appropriate.

9. Storage, Handling, and Safety

You are responsible for storing, handling, using, transporting, and disposing of products in accordance with the product label, safety data sheet, certificate of analysis, technical documentation, applicable laws, institutional procedures, and accepted laboratory safety standards.

You must ensure that only trained and qualified personnel use our products. You must provide appropriate facilities, equipment, personal protective equipment, waste disposal procedures, and risk controls.

4Q Life Sciences is not responsible for loss, contamination, injury, failed experiments, invalid results, or product degradation caused by misuse, improper storage, unauthorized modification, use after expiry, incompatible materials, or failure to follow documentation.

10. Certificates, Technical Support, and Documentation

Certificates of analysis, safety data sheets, technical data sheets, protocols, and other documentation may be provided where available. Such materials are intended to support informed laboratory use and do not replace your independent professional judgment, validation, quality systems, or regulatory obligations.

Any technical support, recommendations, or application guidance we provide is offered in good faith based on information available to us. You remain responsible for validating performance in your own laboratory conditions.

11. Custom, Bulk, and Special-Order Products

Custom formulations, private-label products, bulk quantities, special packaging, made-to-order reagents, and customer-specific specifications may be subject to separate written terms.

Unless otherwise agreed in writing, custom and special-order products are non-cancelable and non-returnable once production, procurement, packaging, or preparation has begun.

You are responsible for ensuring that any customer-provided specifications, materials, protocols, labels, trademarks, or instructions are accurate, lawful, and suitable for the intended use.

12. Compliance With Laws

You agree to comply with all applicable laws, regulations, permits, licenses, import and export controls, sanctions, biosafety rules, chemical safety rules, environmental regulations, and institutional requirements relating to the purchase, import, storage, use, transfer, and disposal of our products.

You must not purchase, export, re-export, transfer, or use our products in violation of applicable law or for any unlawful, unsafe, or prohibited purpose.

Except as expressly stated in these Terms or a separate written agreement, products and services are provided "as is" and "as available." We disclaim all other warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and suitability for any specific experimental outcome.

18. Limitation of Liability

To the maximum extent permitted by law, 4Q Life Sciences will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, failed experiments, lost research time, business interruption, replacement procurement costs, or reputational harm.

Our total liability for any claim relating to a product, order, service, website use, or these Terms will not exceed the amount paid by you for the specific product or service giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited.

19. Indemnity
